Conditions of Participation

A. Objective of the Challenge

The start-up challenge of W&W brandpool GmbH is aimed at potential founders or small start-ups who can present their ideas for new digital business models to W&W brandpool GmbH as part of the new.New Festival. Participants have the opportunity to apply for funding of up to EUR 500,000.

B. Conditions of Participation

Participation in the W&W brandpool GmbH start-up challenge and its implementation is subject to the following provisions:

§ 1 Organiser of the Challenge

The organiser of the start-up challenge is W&W brandpool GmbH, 70176 Stuttgart.

§ 2 Duration of the Challenge

The challenge will take place at the Hanns-Martin-Schleyer-Halle in Stuttgart as part of the new.New Festival from 8th – 10th October 2018.

§ 3 Process of the Challenge

As part of the new.New Festival, a so-called elevator pitch will take place at the W&W brandpool GmbH booth. Here, participants can present and explain their business ideas in the form of a personal conversation.

If the idea is interesting to W&W brandpool GmbH, the participant will receive an invitation to the main pitch right after the conversation. The main pitch will take place in Stuttgart a few weeks after the fair, between 22nd October and 2nd November 2018. As part of the main pitch, the participant will have the opportunity to present and explain their ideas from the initial conversation in detail. On the basis of this presentation and, if necessary, further analyses, W&W brandpool GmbH will decide whether to make a capital investment in the start-up with an amount of up to EUR 500,000.

The requirement for a capital investment is the conclusion of a participation agreement and a shareholding of the W&W brandpool GmbH in the respective start-up company, which is to be negotiated between the parties.

W&W brandpool GmbH decides at its discretion on an offer of a capital investment and its amount. If W&W brandpool GmbH decides on a capital investment, the use of the investment is to be mutually determined in the participation agreement.

§ 4 Participation

Eligible to participate are individuals over the age of 18 as well as groups that have a corresponding business idea or are about to become founded. Even established companies, regardless of their legal form, can apply.

Companies or groups must be represented by an individual. Participants cannot assert claims based on the participation in the start-up challenge particularly not fees or reimbursements of expenses. Travel expenses are to be borne by the participant, even in the event of an invitation to the main pitch.

§ 5 Liability

W&W brandpool GmbH is not liable for the infringement of any copyright, trademark, patent or personal right caused by the participation in the start-up challenge. If W&W brandpool GmbH receives a claim for such an infringement, the responsible participant shall indemnify W&W brandpool GmbH against any third party claims and the costs incurred in the defense against that claim.

§ 6 Data Protection

Confidentiality and protection of presented ideas are assured.

W&W brandpool GmbH is committed to treat all confidential business information made available during the challenge, as strictly confidential and to use it solely for the purposes of the challenge.

Data disclosed by participants of the challenge (name, company, e-mail address) will be collected, processed and used by W&W brandpool GmbH in compliance with the data protection regulations for the purposes of the challenge. A participant may object to the use of their data at any time in writing or by e-mail to W&W brandpool GmbH at brandpool@ww-ag.com. As a result, the personal data will no longer be processed or used. The participant will then be excluded from the challenge.

§ 7 Miscellaneous

By taking part in the challenge, the participant assures that the application does not infringe legal regulations or rights of third parties (e.g. copyrights, neighbouring rights, trademark rights, right of use, general privacy rights).

Should individual provisions be or become invalid, the validity of the remaining provisions remain unaffected.

Any recourse to courts of law is excluded.
